CarePath is a documentation tool, not a healthcare provider. It does not practise medicine, diagnose, triage, prescribe, calculate doses or check interactions, and it never replaces a clinician's own judgment or instructions.
Please read this carefully — it sets out what CarePath does, what it deliberately does not do, and how responsibility is divided between your organization and ours. The clinical sections are not boilerplate.
The agreement
These Terms of Service (the “Terms”) are a binding contract between Artemius Labs LLC, a Wyoming limited liability company (“CarePath”, “we”, “us”), and the person or organization that opens an account (“you”). CarePath is a product name; Artemius Labs LLC is the contracting party.
By creating an account, accepting an invitation to an organization, or using the service in any way, you accept these Terms. If you are accepting on behalf of a practice, clinic, hospital or employer, you confirm you are authorised to bind it, and “you” means that organization.
The Privacy Policy, Refund Policy, Acceptable Use Policy, Medical Disclaimer and — where it applies — the Data Processing Addendum are part of these Terms and are incorporated by reference. If you do not agree with all of them, do not use the service.
Who may use CarePath
CarePath is sold to healthcare professionals and the organizations that employ them. It is not a consumer product. To open or use an account you confirm that:
- you are at least 18 years old and able to enter a contract;
- you are a licensed or credentialed healthcare professional acting within your scope of practice, or a member of staff acting under the direction of one, or an administrator of such an organization;
- your use complies with your licence, your employer’s policies, your professional body’s rules, and the law where you practise;
- you are not barred from receiving our services under applicable sanctions or export law.
Patients must not open accounts. A patient who receives a comic does not become a user of the service, is not charged, and needs no account. Nothing in these Terms creates a relationship of any kind between Artemius Labs LLC and your patient.
We may ask you to evidence your credentials at any time, and may suspend an account while that request is outstanding.
Accounts, organizations and roles
You register with an email address and password, or through Google. You are responsible for everything that happens under your account, and for keeping your credentials confidential. Tell us immediately if you suspect unauthorised access.
An account belongs to one or more organizations, and each membership carries a role:
- Owner — manages the subscription, seats, branding and deletion of the organization, and is the party responsible for payment.
- Admin — invites and removes members and manages branding, but not billing.
- Clinician — creates, reviews, approves and shares comics.
Content created inside an organization belongs to that organization, not to the individual who created it. When you leave or are removed, your access ends immediately and your sessions are terminated; the organization keeps the content. Accounts are personal — do not share logins or pass a seat between people.
What the service does — and what it is not
CarePath takes instructions you have written and restructures them into a short illustrated comic for your patient: six to eight panels, plain language, large type, shareable by QR code, link or PDF. It uses automated systems, including large language models and image models, to do that.
CarePath does not practise medicine. It is not an electronic health record, not a system of record, not clinical decision support, and not a medical device. It does not diagnose, triage, screen, monitor, prescribe, calculate doses, check interactions, or recommend treatment — and it must never be used as if it did. Read the full Medical Disclaimer.
The output is produced by probabilistic models. Identical input can produce different comics. Wording, artwork, pacing and panel choices vary between runs, and such variation is a characteristic of the product, not a defect. We do not warrant that output will be accurate, complete, clinically appropriate, or fit for any particular patient — that determination is yours alone, and is the reason the approval gate exists.
CarePath is not a record-keeping system and must not be used as one. Keep your authoritative documentation in your EHR. We may delete content in line with your retention choices and these Terms, and we are not obliged to preserve it.
Your clinical responsibility
You are the author of every comic your patients receive. Nothing leaves CarePath until a clinician approves it, and approval is an affirmative clinical act.
By approving a comic you confirm that you have read every panel and that, in your professional judgment, it accurately reflects the instructions you intended to give. You agree:
- to review the whole comic — every caption, dose, time, threshold, warning and follow-up instruction — before you approve it;
- never to share, print or export a comic you have not personally reviewed;
- not to rely on CarePath to catch an error, omission or contraindication in your own instructions, because it cannot and does not try to;
- to keep giving the patient your own instructions, verbally or in your usual written form, with the comic as a supplement rather than a substitute;
- to re-review and re-approve after any edit — editing an approved comic turns its share links off until you approve again.
Every comic and PDF carries a fixed, non-removable disclaimer stating that it is a simplification of the clinician’s own instructions, is not independent medical advice, and that the clinician’s instructions govern. You must not remove, obscure, crop, overprint or otherwise defeat that disclaimer, and you must not present a comic as though it came from CarePath rather than from you.
As between you and us, you bear sole responsibility for the clinical content of anything you approve and for any consequence of a patient acting on it. This allocation is fundamental to the price of the service.
Patient information and de-identification
CarePath is built so that patient identifiers are not retained. Text and documents you submit pass through a de-identification service before anything is stored; it processes them in memory and keeps nothing. Only de-identified text, the comic made from it, and a count of what kinds of identifiers were removed are saved. See Security and Privacy for how that works.
That design reduces risk; it does not move responsibility. You agree that:
- you will not deliberately enter patient identifiers — names, dates of birth, record numbers, addresses, contact details, photographs or anything else that identifies a person — into any field of the service;
- you will not use free-text fields, filenames, organization names or branding to carry identifying information;
- you are responsible for checking a comic for residual identifying detail before you approve it, including detail that is identifying because of its rarity or context;
- you have whatever consent, notice or legal basis your jurisdiction requires before you submit clinical material, and before you send a patient a link.
No automated de-identification is perfect, and we do not warrant that every identifier will be detected. If you require a Business Associate Agreement before submitting protected health information, read the HIPAA & Business Associate Notice and contact us first. Absent a signed BAA, you must not use the service to process protected health information.
Share links are unlisted, carry at least 128 bits of randomness, expire, and can be revoked. You are responsible for who you send one to and for revoking it if it reaches the wrong person.
Your content and what you may do with comics
You keep ownership of everything you put in — your instructions, your documents, your clinic’s name and logo. You grant Artemius Labs LLC a worldwide, non-exclusive, royalty-free licence to host, process, transmit, adapt and display that material strictly to operate the service for you, to keep it secure, and as required by law. That licence ends when the content is deleted, save for backups on their ordinary rotation.
To the extent we can grant it, you own the comics generated for your organization, and may use them for patient care: show them in the room, share them by link or QR code, print them, hand them out, put them in a waiting room, or attach them to your own record. You may not resell them as a standalone product, redistribute them as a content library, or present them as a third party’s work.
We do not train models on your content. Your case text and generated comics are not used to train or fine-tune our models or our vendors’ models. We may use aggregated, de-identified operational statistics — counts, timings, error rates — to run and improve the service.
You are responsible for having the rights to everything you upload, including documents, logos and trade marks. If you tell us about a problem with generated output, you allow us to look at the relevant content to investigate it.
Acceptable use
The Acceptable Use Policy sets the full rules. In short, and without limiting it, you must not:
- use CarePath for diagnosis, triage, dosing, drug interaction checking or any other clinical decision-making;
- generate material for a patient you have not assessed, or instructions you have not authored and would not sign;
- deliberately submit patient identifiers, or upload material you have no right to;
- hold CarePath out as a provider of medical advice, or strip the disclaimer from a comic;
- share seats, resell access, scrape the service, probe it for weaknesses without permission, or work around quotas, rate limits or the approval gate;
- use the service to produce anything unlawful, harassing, deceptive or discriminatory.
Breach of the Acceptable Use Policy is a material breach of these Terms and may lead to immediate suspension without refund.
Plans, quotas, billing and renewal
Paid plans (Solo, Practice, Clinic) are subscriptions, billed monthly or annually in advance through Stripe. Prices are shown on the pricing section and are exclusive of taxes, which are added where required. We never see or store your full card details.
- Quotas. Each plan includes a number of comics per billing month and a number of seats. Unused allowance does not carry over. Some plans include a small overage allowance; once quota and overage are exhausted, generation stops until the period resets or you upgrade.
- Renewal. Subscriptions renew automatically at the then-current price for the same period until cancelled. By subscribing you authorise recurring charges.
- Cancelling. Cancel any time from your account. Cancellation stops the next renewal; it does not refund the period you are in, and your plan stays active until that period ends.
- Seats. Adding a seat mid-period is charged pro rata. Removing a seat takes effect at the end of the billing period; seats are not refunded.
- Failed payment. A failed charge starts a 7-day grace period during which the organization is restricted: existing comics stay readable, but new generation and sharing are paused. If payment still fails, the subscription may be cancelled.
- Price changes. We may change prices with at least 30 days’ notice by email, effective at your next renewal. You may cancel before then.
The Refund Policy governs refunds in full. In short, charges are final except in the narrow cases it lists.
Free plan. The free plan includes one comic, requires no card, and is provided as-is with no availability or support commitment. We may change or withdraw it at any time. One free plan per organization; creating extra accounts to repeat it is a breach of these Terms.
Third-party services
CarePath depends on vendors listed on the Subprocessors page — among them hosting, database, model, payment and email providers. Your use of the service involves their systems.
Those vendors act independently. We choose them carefully and bind them contractually, but we are not responsible for their acts or omissions, their outages, their pricing, or changes they make to their own services. If a vendor becomes unavailable, features that depend on it may be degraded or suspended without that being a breach by us. Payments are also subject to Stripe’s own terms.
Availability, changes and early features
The service is provided on an as-is, as-available basis. We do not commit to any uptime, response time or generation time unless it is written into a separate agreement signed by us. Maintenance, model changes, upstream incidents and rate limits can all interrupt or slow the service.
We develop the product continuously and may add, change or remove features. If we make a change that materially reduces core functionality you are paying for, we will tell you by email, and you may cancel and ask for a pro-rata refund of the unused prepaid period. If we discontinue the service entirely, we will give at least 90 days’ notice and leave export available for that period.
Features labelled beta, preview or experimental are exactly that: they may change or vanish, may be less reliable, and are excluded from any commitment or remedy in these Terms.
Disclaimer of warranties
To the fullest extent permitted by law, the service and all output are provided “as is” and “as available”, without warranty of any kind, express, implied or statutory. Artemius Labs LLC expressly disclaims the implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade.
Without limiting that, we do not warrant that:
- output will be accurate, complete, current, clinically correct, or suitable for any patient or situation;
- de-identification will remove every identifier from every input;
- the service will be uninterrupted, timely, secure or error-free, or that defects will be corrected;
- output will comply with any particular standard, reading level, accreditation requirement or regulation applicable to your practice.
No advice or information obtained from us, whether oral or written, creates any warranty not expressly stated here. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
Limitation of liability
CarePath is priced as a documentation tool, not as an insurer of clinical outcomes. The limits below are a material part of the bargain, and the price would be different without them.
To the fullest extent permitted by law, Artemius Labs LLC and its members, officers, employees, contractors and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, business interruption, or the cost of substitute services — however caused and on any theory of liability, even if we have been advised of the possibility.
To the fullest extent permitted by law, we will not be liable for any claim arising out of clinical care, patient outcomes, personal injury, misdiagnosis, delayed treatment, or a patient’s understanding of or reliance on a comic — because the clinical content of every comic is authored and approved by you, and the service performs no clinical function.
Cap. Our total aggregate liability for all claims relating to the service in any 12-month period will not exceed the greater of (a) the amounts you actually paid us for the service in the three months before the event giving rise to the claim, or (b) US $100.
These limits apply even if a remedy fails of its essential purpose. They do not exclude liability that cannot lawfully be excluded — including, in some jurisdictions, liability for fraud, for gross negligence, or for death or personal injury caused by our negligence. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
Indemnity
You will defend, indemnify and hold harmless Artemius Labs LLC and its members, officers, employees and contractors from and against any claim, demand, proceeding, loss, liability, damage, fine, penalty, cost and expense (including reasonable legal fees) arising out of or related to:
- a comic you approved, shared, printed or exported, and anything a patient did or did not do because of it;
- your clinical decisions, your care of a patient, or the instructions you wrote;
- patient identifiers or other regulated data you submitted to the service, including in breach of these Terms;
- your breach of these Terms, the Acceptable Use Policy or applicable law, including privacy, health and professional regulation;
- content you uploaded that infringes a third party’s rights;
- use of your account by anyone you let in, including former staff whose access you failed to remove.
We will notify you of any such claim, let you control the defence with counsel we reasonably approve, and cooperate at your expense. You may not settle in a way that admits fault on our part or imposes an obligation on us without our written consent.
Suspension and termination
You may stop at any time: cancel the subscription in your account, or delete the organization. Deleting an organization cancels its subscription immediately, ends every share link, and removes its content — it does not refund unused time.
We may suspend or terminate access, immediately and without refund, where we reasonably believe there is a breach of these Terms or the Acceptable Use Policy, a risk to patient safety, fraudulent or unlawful use, non-payment after grace, a chargeback, or a legal requirement to act. Where the circumstances allow, we will tell you what happened and what would resolve it.
On termination your licence to use the service ends. Export what you need before you go. We will delete or de-identify remaining content in accordance with the Privacy Policy; audit records that we are required to keep are retained. Sections on content licences already granted, billing, warranties, liability, indemnity, governing law and general terms survive.
Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
Talk to us first. Before starting any proceeding, you agree to send a written description of the dispute to support@carepath.com and to work with us in good faith for 60 days to resolve it. Most billing and account issues are settled this way in days.
If that fails, the state and federal courts located in Wyoming have jurisdiction, and you consent to that venue. Either party may still seek injunctive relief in any competent court to protect its intellectual property or confidential information. Claims must be brought within one year of the event giving rise to them, or be barred, to the extent that limit is enforceable where you are.
To the extent permitted by law, disputes are resolved individually: you and we waive any right to bring or participate in a class, collective or representative action. Nothing here removes a right you have under mandatory consumer law in your country of residence.
Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days’ notice by email to organization owners and by a notice in the product before they take effect; clarifications, typo fixes and changes required by law take effect when posted.
Continuing to use the service after a change takes effect means you accept the new version. If you do not, cancel before the effective date. The version in force when a claim arose governs that claim. Each version is dated at the top of this page.
General
These Terms, with the policies incorporated into them, are the entire agreement between you and Artemius Labs LLC about the service, and replace any earlier understanding. A purchase order or vendor form of yours adds nothing unless we sign it.
- Severability. If a provision is unenforceable, it is limited to the minimum extent necessary and the rest stays in force.
- No waiver. Not enforcing a right is not a waiver of it.
- Assignment. You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger or sale of assets.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
- No third-party beneficiaries. No one other than you and us — patients included — acquires rights under these Terms.
- Notices. We write to the email on your account; you write to support@carepath.com. Notice is effective when sent.
- Relationship. Nothing here creates a partnership, joint venture, employment or agency relationship, and we are not your business associate unless a signed BAA says so.
